General Terms and Conditions of Sale and Use

These General Terms and Conditions of Sale and Use apply to all services offered under the trade name Location Webradio Streaming, accessible from the website https://www.location-webradio-streaming.com.

The website and services are published and operated by CASTELIO NETWORKS, a simplified joint-stock company with a sole shareholder, with a share capital of 1,000 €, registered with the RCS (Trade and Companies Register) of Rennes under the SIREN number 105 585 533, SIRET 105 585 533 00018, APE code 6201Z, intra-community VAT number FR07105585533, whose registered office is located at 8 Impasse de la Clairière, Village La Ferronnais, 35470 Bain-de-Bretagne, France.

In these terms, the trade name Location Webradio Streaming designates the services marketed by CASTELIO NETWORKS under this brand.

1.0 Definitions

1.1 Client: designates any natural or legal person ordering a service on the location-webradio-streaming.com website or using a service provided by Location Webradio Streaming.

1.2 Publisher / Service Provider: designates CASTELIO NETWORKS, legal operator of the commercial brand Location Webradio Streaming.

1.3 Services: designates notably audio or video streaming services, associated hosting, AutoDJ, media file hosting, provision or configuration of radio panels, web solutions, PWAs, mobile applications, technical services, audio services, Sacem options, support services, and any complementary service offered on the site.

1.4 Client Data: designates the files, content, settings, databases, media, texts, images, sounds, account information, and any element provided, uploaded, broadcasted, or configured by the Client within the scope of the Services.

1.5 Server space: designates the technical space allocated to the Client for the subscribed service, including, where applicable, media file hosting, broadcasting parameters, and associated management tools.

1.6 Radio panel: designates the management interface made available to the Client to administer their stream, media files, playlists, AutoDJ, statistics, or broadcasting settings.

2.0 Scope of Services

Location Webradio Streaming provides digital and technical services related to the broadcasting of audio or video content, data hosting, computer programming, digital tool configuration, and technical support for clients.

2.1 Streaming and associated hosting services
Location Webradio Streaming provides, depending on the subscribed offer, a technical infrastructure allowing the broadcasting of audio or video streams, notably via technologies such as Icecast, Shoutcast, HLS, or equivalent solutions, with or without AutoDJ. The offer may include disk space, access to a management panel, statistics, programming tools, relaying functions, or complementary services.

The Client remains solely responsible for the content they host, program, broadcast, or make accessible from the Services. The Client must keep their own backup copies of important files and information.

Unless a dedicated backup contractual option is chosen, any backups potentially made by Location Webradio Streaming are internal technical backups, not guaranteed, intended for business continuity. They do not replace a Client's own backup policy.

2.2 Installation, configuration, and maintenance
Location Webradio Streaming may proceed with the installation, configuration, updating, migration, or maintenance of the ordered Services. To preserve the integrity and security of the infrastructures, certain technical accesses may be limited or reserved for Location Webradio Streaming and its authorized service providers.

2.3 Connection and availability
Location Webradio Streaming implements reasonable means to ensure the accessibility of the Services 24 hours a day, 7 days a week, subject to maintenance operations, technical incidents, network interruptions, hardware failures, cyberattacks, interventions by third-party suppliers, force majeure, or any event beyond its control.

2.4 Technical support
Support is provided according to the channels made available on the site, notably customer tickets, email, telephone, or live chat when these means are available. Support covers the Services provided by Location Webradio Streaming and does not include, except for specific services, the editorial, legal, musical, administrative, or commercial management of the Client's radio.

2.5 Client equipment
The Client is responsible for their own equipment, Internet access, software, third-party accounts, studio equipment, encoders, computers, and any element necessary for the use of the Services. Location Webradio Streaming does not guarantee the compatibility of all third-party equipment, software, or services with its Services.

3.0 Pricing, Billing, and Payments

3.1 Pricing
The applicable prices are those displayed on the site at the time of order or renewal, unless a specific quote is accepted by the Client. Rates can be monthly, quarterly, semi-annual, annual, or one-off depending on the service ordered.

Prices are indicated in euros. Due to the operation of the services by CASTELIO NETWORKS, a company subject to VAT, VAT is applied in accordance with current tax rules. For clients located in France, French VAT is generally applicable, even when the Client is an association, unless specific legally justified provisions apply. For professional clients located in another Member State of the European Union and having a valid intra-community VAT number, the reverse charge mechanism may apply when legal conditions are met.

3.2 Payment methods
Available payment methods may include, depending on the offers and periods: credit card via Stripe, PayPal, bank transfer, SEPA direct debit, fractional payment via a partner such as Klarna, or any other method offered in the client area.

Full credit card details are not kept by CASTELIO NETWORKS. When a card payment is registered to facilitate renewals, payment data is processed and secured by the payment provider concerned, notably Stripe. The Client can manage or request the deletion of their saved payment methods according to the options in the client area or by requesting support.

3.3 Billing and renewal
Recurring services are billed according to the frequency chosen at the time of the order or according to the accepted quote. Services are payable in advance, before their delivery or renewal, unless a specific written agreement states otherwise.

A renewal notice or a billing call may be sent before the service's due date. The failure to receive a reminder email does not exempt the Client from payment on the due date when the service is active and renewable.

3.4 Late payment, suspension, and closure
In the event of non-payment on the due date, Location Webradio Streaming may send one or more reminders. Failing regularization, the service may be automatically suspended after 10 days of delay. Suspension may result in the interruption of the stream, hosting, panel, options, and associated services.

Without regularization within 30 days after the unpaid due date, the service may be terminated and permanently deleted, with possible loss of associated data, files, settings, streams, histories, and content.

For professional Clients, any late payment may result in the application of late penalties and the statutory fixed indemnity for collection costs, without prejudice to justified additional costs. For all Clients, bank charges, rejection fees, collection fees, or reactivation fees may be billed when they are due to a default or late payment attributable to the Client.

3.5 Modification of offers and rates
Location Webradio Streaming may modify its offers, their compositions, their technical limits, their options, or their rates. Tariff modifications apply to new orders and upcoming renewals, unless otherwise indicated. Services already paid for remain provided under the conditions applicable at the time of payment, subject to technical, legal, or security constraints.

4.0 Obligations, Warranties, and Availability

4.1 Client obligations
The Client commits to providing accurate information, keeping their contact details up to date, and using the Services in accordance with the law, these terms, and the rules applicable to their activity. The Client is solely responsible for the broadcast content, the rights necessary for its broadcast, the information provided to their listeners or users, and the compliance of their radio, website, or application.

4.2 Legal compliance
The Client commits to respecting the rules applicable to copyrights, neighboring rights, personal data protection, electronic communications, advertising, competitions, prohibited content, protection of minors, consumer law, and any regulation applicable to their activity.

4.3 Security
The Client must protect their identifiers, passwords, FTP access, panels, administration interfaces, email accounts, and payment methods. Any action carried out from the Client account is presumed to have been carried out by the Client, unless proven otherwise.

4.4 Service Provider commitments
Location Webradio Streaming commits to providing its Services with diligence and according to the rules of the trade applicable to its activity, within the limits of the subscribed offers and technical constraints. The Services are provided with an obligation of means, unless explicitly stated otherwise.

4.5 Force majeure
The liability of CASTELIO NETWORKS cannot be engaged in the event of an event beyond its control, notably power outage, network failure, cyberattack, strike, fire, natural disaster, war, riot, administrative decision, interruption of a third-party supplier, unavailability of a datacenter, operator malfunction, or any other case of force majeure.

5.0 Responsibilities, Content, and Broadcasting Rights

5.1 Use at Client's risk
The Client uses the Services under their own responsibility. Location Webradio Streaming does not guarantee that the Services will be free from interruptions, errors, data loss, or incompatibilities, particularly when these events result from a third party, a supplier, external software, improper configuration, Client action, or an event beyond the Service Provider's control.

5.2 Limitation of liability
Except in the event of gross negligence or mandatory legal provision to the contrary, CASTELIO NETWORKS' liability is limited to the amount actually paid by the Client for the service concerned during the period in which the event causing the damage occurred. CASTELIO NETWORKS cannot be held liable for indirect losses, operating losses, loss of audience, loss of turnover, loss of data, loss of image, loss of contracts, or indirect commercial damages.

5.3 Broadcasted content
The Client is solely responsible for the audio files, videos, images, texts, podcasts, streams, jingles, advertisements, chronicles, programs, information, trademarks, and content that they host or broadcast. They guarantee they have all the necessary authorizations to use and broadcast them.

5.4 Content provided by third parties
When Location Webradio Streaming offers audio content, broadcast-ready elements (PAD), chronicles, news flashes, programs, or elements provided by partners, this content is made available according to the conditions agreed upon with the concerned suppliers. The producers or publishers of this content remain responsible for the rights attached to their productions. The Client must respect the usage limits communicated for this content.

6.0 Duration, Renewal, Withdrawal and Termination, Credit Balance

6.1 Duration
The duration of a service depends on the frequency chosen during the order or the accepted quote: monthly, quarterly, semi-annual, annual, or one-off. Recurring services are renewable on the due date, unless a termination request is made under the conditions stipulated below.

6.2 Termination at expiry
The Client may request the termination of a recurring service from their client area or by a request to support. Termination at expiry leads to the cessation of the service at the end of the already paid period. No pro rata refund is due for a period already started, except where mandatory legal provisions require it or by written commercial agreement.

6.3 Immediate termination
The Client may request immediate termination. In this case, the service may be closed before the end of the paid period, without a refund for the remaining period, except where mandatory legal provisions require it or by written agreement.

6.4 Cancellation of an undelivered order
An order can be canceled and refunded if the service has not yet been delivered, configured, activated, reserved, customized, or started. The request must be made promptly to commercial support.

6.5 Consumer right of withdrawal
When acting as a consumer, the Client generally has a legal withdrawal period of 14 days for distance contracts. However, this right cannot be exercised in certain cases provided by the Consumer Code, notably when the provision of services has been fully executed before the end of the withdrawal period with the consumer's express prior agreement and their express waiver of their right of withdrawal, or when the execution of digital content or a digital service begins before the end of the period with their prior agreement and waiver where permitted by law.

Consequently, when the Client requests or accepts the immediate activation of a digital service, hosting, stream, domain name, customized configuration, audio service, application, PWA, technical service, or an option requiring immediate execution, they may be asked to expressly confirm the waiver of the right of withdrawal for the service concerned.

6.6 Termination for breach
Location Webradio Streaming may suspend or terminate a service in the event of non-payment, violation of these terms, illicit use, security risk, infringement of third-party rights, abusive use of resources, provision of false information, or behavior prejudicial to the service, infrastructures, or other clients.

6.7 Excessive resources
The Client must use the resources in accordance with the subscribed offer. In the event of abnormal or excessive consumption of resources, Location Webradio Streaming may ask the Client to correct the situation, propose a suitable offer, temporarily limit certain uses, suspend the service, or terminate it if the situation endangers the infrastructure or other clients.

6.8 Data after termination
Upon termination of the service, the Client must recover their data before the effective closure. After the closure or deletion of the service, Location Webradio Streaming does not guarantee the retention or the possibility of restoring the data.

6.9 Credits and customer account balance
Sums credited to the client's account (resulting from voluntary top-ups, overpayments, credit notes, or commercial gestures) constitute an exclusive usage credit on our services. This balance cannot under any circumstances be subject to a partial or total refund, whether in monetary form or by bank transfer, including in the event of a request for termination, inactivity, or closure of the client account.
Acquired credits benefit from unlimited (lifetime) validity. They remain indefinitely available in the client area for the full or partial payment of any subsequent order or invoice. In the event of a change in the legal form of the issuing company, transfer, or restructuring, the new entity commits to taking over and guaranteeing the strict continuity of these credit balances.

7.0 Intellectual Property and Client Data

7.1 Client Data
The Client retains ownership of their content, files, trademarks, logos, texts, images, sounds, databases, editorial settings, and proprietary data. The Client grants CASTELIO NETWORKS the rights strictly necessary for the hosting, processing, backup, broadcasting, and maintenance of the ordered Services.

7.2 Software, interfaces, and infrastructures
The software, scripts, interfaces, panels, developments, models, templates, tools, documentation, methods, configurations, and infrastructures provided or developed by CASTELIO NETWORKS remain its property or that of its suppliers, unless otherwise stipulated in writing.

7.3 Mobile applications, PWAs, and published solutions
When Location Webradio Streaming provides a mobile application, a PWA, a Skill, a player, a website, or a technical solution hosted or published from its developer accounts, the solution remains operated as part of the subscribed service. Unless agreed otherwise in writing, the Client cannot demand the transfer of source codes, developer accounts, certificates, keys, licenses, or internal technical elements. Upon termination of the service, the solution may be deactivated, unpublished, or removed from the relevant platforms.

7.4 Third-party licenses
Certain services may use third-party licenses, themes, plugins, payment solutions, statistical tools, developer platforms, or external services. The Client commits to respecting the terms of these third parties when their use is necessary for the service.

8.0 Prohibited Uses and Immediate Suspension

8.1 Prohibited activities
The following are strictly prohibited: illicit content, counterfeiting, piracy, phishing, malware, viruses, botnets, spam, abusive data collection, identity theft, invasion of privacy, incitement to hatred, apology for terrorism, child pornography, scamming, fraud, unauthorized broadcasting of protected works, warez, unauthorized gambling, cyberattacks, attempted intrusion, intentional resource overload, or any use contrary to the law, third-party rights, or the ethics of the service.

8.2 Suspension without notice
Location Webradio Streaming may immediately suspend any service presenting a legal, technical, security, or reputational risk, without notice, in order to protect its infrastructures, its clients, its suppliers, or third parties.

8.3 Reporting to authorities
CASTELIO NETWORKS reserves the right to communicate to the competent authorities, upon legal request or when authorized by law, the information necessary for the identification, prevention, or cessation of an illicit activity.

9.0 Miscellaneous Provisions

9.1 Accurate contact details
The Client must provide an accurate identity, postal address, email, and, where applicable, billing information. Accounts containing obviously false or unusable information may be suspended.

9.2 Public nature of the Internet
The Client acknowledges that broadcasting on the Internet involves technical risks and that any publicly accessible content may be consulted, captured, copied, or referenced by third parties. The Client is responsible for protecting content they do not wish to make public.

9.3 Unsolicited emails
The sending of unsolicited, mass, abusive, fraudulent, or malicious emails is prohibited. Any use of email services or servers for spamming purposes may result in immediate suspension.

9.4 IP addresses and technical resources
IP addresses, ports, hostnames, server resources, technical locations, and network configurations remain under the control of CASTELIO NETWORKS or its suppliers. They may be modified for technical, security, or operational reasons.

9.5 Resale
The resale of services, spaces, streams, or hosting is prohibited without written agreement from CASTELIO NETWORKS. Expressly authorized reseller accounts must respect the applicable special conditions, notably regarding support, pricing, copyrights, data protection, and fair competition.

9.6 Consumer mediation
In accordance with the rules applicable to professionals selling to consumers, a consumer Client may resort free of charge to a consumer mediation mechanism in the event of an unresolved dispute with customer service.

9.7 Applicable law
These terms are governed by French law. In the event of a dispute with a professional Client, jurisdiction is attributed to the courts in the jurisdiction of CASTELIO NETWORKS' registered office, unless a mandatory provision dictates otherwise.

10.0 Modification of Services and Terms

CASTELIO NETWORKS may modify these conditions to take into account the evolution of services, technologies, security constraints, legal obligations, third-party suppliers, or its organization. The new conditions are applicable from their publication on the site or on the date indicated in the notification addressed to the Client.

When the modification substantially affects a recurring service already subscribed to, Location Webradio Streaming will endeavor to inform the Client within a reasonable time before its application, barring emergencies, legal constraints, security constraints, or decisions by a third-party supplier.

11.0 Copyrights, Sacem, SPRE, and Neighboring Rights

The Client is solely responsible for the compliance of their radio, stream, website, podcasts, on-demand content, and broadcasts with the rules relating to copyrights, neighboring rights, producers' rights, performers' rights, publishers' rights, trademarks, and necessary authorizations.

11.1 Declarations and authorizations
The broadcast of musical works, commercial recordings, podcasts, programs, jingles, advertisements, or protected content may require authorizations from organizations such as Sacem, SPRE, SACD, Scam, producers, or any other competent rightsholder. The Client must verify the authorizations applicable to their activity, status, audience, broadcasting territory, revenues, and uses.

11.2 Sacem option offered by Location Webradio Streaming
When Location Webradio Streaming offers a support or third-party payer option for a Sacem authorization, this option concerns only the scope indicated in the offer and does not exempt the Client from verifying their other obligations, notably neighboring rights, SPRE, podcasts, replays, downloads, on-demand listening, commercial broadcasting, branding, advertising, or out-of-scope exploitation.

Sacem rates and authorization conditions are determined by Sacem and may evolve. As an indication, for an associative or individual web radio without podcasts, Sacem indicates an annual flat rate per broadcasting channel, to be increased by current contributions and taxes. The Client must refer to the Sacem conditions in force on the day of their request.

11.3 Annual Sacem commitment
When the Client subscribes to a Sacem option through Location Webradio Streaming, they acknowledge that the Sacem authorization is generally concluded for an annual period, renewable by tacit agreement according to Sacem's conditions. This annual commitment may apply regardless of the billing cycle chosen with Location Webradio Streaming.

The Client therefore commits to paying the sums due under the current authorization until its term, including in the event of termination of the stream, change of offer, voluntary cessation of the service, or payment default. Location Webradio Streaming may demand immediate payment of the sums remaining due for the current contractual period when these sums are payable by Sacem or by the operation of the subscribed option.

11.4 Termination of Sacem authorization
Any request for the termination of the Sacem authorization or option must be made at least one month before the annual due date, unless a different deadline is imposed by Sacem. Otherwise, renewal may be due and cannot be canceled.

11.5 Proof of declaration
When Location Webradio Streaming acts as a third-party payer or reporting intermediary, the proof of payment, invoice, certificate, or confirmation provided by Sacem or by Location Webradio Streaming constitutes a supporting document for the step taken. The Client remains responsible for keeping these supporting documents and verifying that the authorization corresponds to their actual use.

11.6 Neighboring rights and SPRE
The Sacem authorization does not necessarily cover neighboring rights or all categories of rights attached to recordings. The Client must notably verify their obligations with SPRE or producers when using commercial recordings, including self-produced works, singles, albums, podcasts, or third-party content.

12.0 Personal Data and Cookies

CASTELIO NETWORKS processes personal data necessary for account creation, ordering, billing, support, provision of Services, security, legal obligations, payment management, and customer relations. Detailed procedures are presented in the Privacy and Personal Data Protection Policy.

The site uses cookies and trackers necessary for its operation, as well as, subject to the Client's or visitor's consent, audience measurement, preference, or marketing cookies. Detailed procedures are presented in the Cookie Terms of Use.

The Client has rights of access, rectification, erasure, opposition, limitation, and portability, under the conditions provided by applicable regulations. Requests can be sent via customer support or the contact form provided for this purpose.

13.0 Appendices and Special Conditions

Certain services may be subject to special conditions, notably mobile applications, PWAs, Alexa Skills, video streaming, fractional payment, Sacem services, reseller accounts, audio services, development services, or customized services. In the event of a contradiction between these general conditions and expressly accepted special conditions, the special conditions prevail for the service concerned.
